Terms of Service Agreement

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Prospact.ai website, platform, and related services (collectively, the “Services”).By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must:

Be at least 18 years old
Have the legal authority to enter into this agreement
Use the Services on behalf of a business or professional purpose

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate and complete information
Keep your login credentials secure
Notify us immediately of unauthorized access
‍You are responsible for all activities conducted under your account.

4. Description of Services

Prospact.ai provides a B2B prospecting and data intelligence platform that may include:

Lead discovery and enrichment
Business contact data
Analytics and insights
‍CRM or workflow integrations

The Services may evolve over time, and features may be added, modified, or removed.

5. Acceptable Use

You agree not to:

Use the Services for unlawful, deceptive, or unethical purposes
Violate applicable data protection or privacy laws
Send spam or unsolicited communications
‍Scrape, resell, or redistribute data without authorization
‍Reverse engineer, copy, or exploit the platform
‍Circumvent usage limits or security measures

Violation of this section may result in immediate suspension or termination.

6. Data & Compliance Responsibilities

You acknowledge and agree that:

You are responsible for ensuring your use of the Services complies with all applicable laws (including GDPR, CCPA, CAN-SPAM, PECR, etc.)
Prospact.ai provides tools and data but does not provide legal advice
You determine the lawful basis for contacting prospects

7. Intellectual Property

All rights, title, and interest in the Services, including software, content, trademarks, and branding, are owned by Prospect.ai or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

8. Subscription, Fees & Payments

You must know that

Certain features require a paid subscription
Fees are billed in advance and are non-refundable unless stated otherwise
We may change pricing with prior notice
‍Failure to pay may result in suspension or termination
‍Taxes are your responsibility unless otherwise specified.

9. Free Trials

If a free trial is offered:

It is provided “as-is”
Usage limits may apply
Failure to pay may result in suspension or termination
‍We may terminate the trial at any time without notice

10. Termination

We may suspend or terminate your access if you:

Breach these Terms
Misuse the Services
Fail to pay applicable fees
‍Pose legal, security, or reputational risk
‍You may cancel your account at any time. Upon termination, your right to use the Services ends immediately.

11. WARRANTIES

11.1. Mutual Warranties. Each party represents and warrants to the other that: (a) this Agreement has been duly executed and delivered and constitutes a valid and binding agreement enforceable against such party in accordance with its terms; and (b) no authorization or approval from any third party is required in connection with such party’s execution, delivery, or performance of this Agreement.

11.2. Customer Warranties. Customer represents and warrants to Prospact.ai that: (a) it has all rights or consents necessary to provide Customer Data to Prospact.ai under this Agreement; (b) it has obtained all consents necessary to contact individuals through the Service for marketing purposes; and (c) it will comply with all Applicable Laws in using the Service.

11.3. Prospact.ai Warranties. Prospact.ai represents and warrants to Customer that the Service, when used by Customer in accordance with the permitted uses in this Agreement and the Documentation, will function as described in the Documentation and the DPA, during the Term.

11.4. Exclusive Remedy. Customer shall report to Prospact.ai, pursuant to the notice provision of this Agreement, any breach of the warranties set forth in this Section 11. In the event of a breach of warranty by Prospact.ai under this Agreement, Customer’s sole and exclusive remedy, and Prospact.ai entire liability, shall be prompt correction of any material non-conformance in order to minimize any material adverse effect on Customer’s business, or if Prospact.ai cannot repair such deficient Service as warranted within sixty (60) days after receipt of written notice of the warranty breach, Customer shall be entitled to terminate the applicable Order Form for the Service and recover from Prospact.ai a pro-rata portion of the prepaid subscription fees corresponding to the terminated portion of the applicable subscription term.

11.5. Disclaimer. EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES STATED IN THIS SECTION 11, Prospact.ai MAKES NO ADDITIONAL REPRESENTATION OR WARRANTY OF ANY KIND WHETHER EXPRESS, IMPLIED (EITHER IN FACT OR BY OPERATION OF LAW), OR STATUTORY, AS TO ANY MATTER WHATSOEVER. 11X EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, TITLE, AND NON-INFRINGEMENT. Prospact.ai DOES NOT WARRANT THAT THE SERVICE IS ERROR-FREE OR THAT OPERATION OF THE SERVICE WILL BE COMPLETELY SECURE OR UNINTERRUPTED, THAT ANY INFORMATION PROVIDED THROUGH THE SERVICE IS ACCURATE OR COMPLETE, OR THAT ANY INDIVIDUALS CONTACTED THROUGH THE SERVICE WILL RESPOND TO, OR RESULT IN ANY SALES TO, CUSTOMER.

12. Modifications to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of United Arab Emirates, Dubai without regard to conflict of law principles.
